Starting in July 2024, the bylaws committee made up of 5 board members has met for 7 meetings and a total of 10 hours to work diligently on updating the attached bylaws. In addition to those meetings, there were around 6 hours of research necessary to move forward. The committee shared the bylaws with the Edgehill Association board and incorporated recommended changes. We were exhaustive in our approach in trying to update the bylaws and strived to bring both transparency for the present and common sense for the future.
General Summary of Changes:
Streamlined overall document
Eliminated details that are captured in other documents - Pool Rules, Membership Forms, and Rental Agreements
Changed the fiscal year to align with current practice – new fiscal year, May 1 – April 30 (previously, fiscal year was the calendar year); eliminated due date for delinquency since we accept memberships throughout the year.
Eliminated one annual meeting to align with new fiscal year; new practice will be to hold one meeting to approve board members and budget with flexibility to add other meetings as necessary
Simplified member references to be “voting” and “non-voting” members versus associate, renters, etc.
Memberships are typically counted by “household” versus individual members (e.g., 5 immediate family members at the same address would be 1 household; only property owners in the household have voting rights)
Eliminated language relative to membership joining fees since those are no longer in practice
Eliminated most committees as they will be established when needed – most were not currently active
Changed expenditure limits to be a percentage of budget versus dollar amount
Minor changes to typographical errors, capitalization, gender references; modified technology references to be more current (e.g., email, virtual attendance)
